GCT Semiconductor Holding, Inc. (NYSE: GCTS) filed two Current Reports on Form 8-K within a week. The first, dated September 10, 2026 and filed on September 15, discloses an incentive bonus plan for the second half of 2026 for the company’s four executive officers and a salary increase for the chief financial officer. The second, dated September 17 and filed on September 18, reports the votes at the annual meeting of stockholders held that day.
According to the compensation filing, the Compensation Committee of the board approved a plan under which each executive officer is eligible for a cash bonus based on the company’s achievement of “specified 2026 revenue targets” and the officer’s individual performance goals, with the payout based on “a specified weighting” between the two. The target bonus for each of the four officers, at 100 percent performance, is 25 percent of base salary for the second half of 2026. The officers named are John Schlaefer, chief executive; Edmond Cheng, chief financial officer and corporate secretary; Alex Sum, senior vice president of sales and marketing; and Jeongmin Kim, vice president of engineering and chief technology officer. The same committee raised Mr Cheng’s annual base salary from 304,500 US dollars to 330,383 US dollars, effective October 1, 2026.
At the annual meeting, stockholders elected both of management’s nominees. Robert J. Barker received 35,321,741 votes for and 3,545,422 withheld; Hyunsoo Shin received 38,706,048 for and 161,115 withheld; each had 11,989,240 broker non-votes. The appointment of BPM LLP as independent registered public accounting firm for the year ending December 31, 2026 was ratified with 50,294,548 votes for, 312,376 against and 249,479 abstentions.
Reading the filing
The salary increase is 25,883 US dollars, from 304,500 to 330,383, or about 8.5 percent. The filing gives no reason for it and no comparison with the other officers’ pay; the base salaries of Mr Schlaefer, Mr Sum and Mr Kim are not stated, so the dollar value of their 25 percent targets cannot be computed. For Mr Cheng, 25 percent of half of a 330,383 US dollar salary is about 41,000 US dollars at full payout, though the filing does not say whether the pre-October salary applies to the first three months of the half.
The plan’s targets are not disclosed. The filing refers to “specified 2026 revenue targets” and “a specified weighting” without giving the revenue figure, the weighting or the individual goals, and it does not say whether payouts above 100 percent are possible. It states that the description “is only a summary and qualified in its entirety by the Plan”, which is to be filed as an exhibit to the quarterly report for the period ending September 30, 2026. Until then the filing tells a reader the shape of the plan and nothing of its thresholds.
Both filings are signed by Mr Cheng, who is a beneficiary of the bonus plan and the sole beneficiary of the salary increase. The Compensation Committee is not named by member, and the filing does not say whether an outside adviser was consulted. No independent party is identified in either document.
Votes for and withheld sum to 38,867,163 for Mr Barker, from 35,321,741 and 3,545,422, and to the same 38,867,163 for Mr Shin, from 38,706,048 and 161,115, so the same shares voted on each, and Mr Barker’s 3,545,422 withheld votes are about 9.1 percent of that total, against about 0.4 percent for Mr Shin’s 161,115. The filing does not say why. The 11,989,240 broker non-votes are shares whose brokers had no instructions on the election; adding them to the 38,867,163 voted gives 50,856,403, which matches the sum of the 50,294,548 for, 312,376 against and 249,479 abstain votes on the auditor, an item brokers may vote at their discretion. The filing gives no total of shares outstanding, so turnout cannot be computed from it.
Both items are new. The director election and auditor ratification are routine annual matters; the half-year bonus plan and the raise are new decisions dated September 10.
Questions worth asking
What revenue figure must the company reach for the executives to earn their target bonus? The filing names revenue targets as the company-level measure but gives no number, so a reader cannot compare the target with reported results.
Why did Mr Barker draw 3,545,422 withheld votes when Mr Shin drew 161,115 from the same voting shares? The filing reports the counts without comment.
Why was the chief financial officer’s salary raised from 304,500 to 330,383 US dollars, and were the other officers’ salaries reviewed? The filing states the increase and its date only.
Is 100 percent the maximum payout, or can the plan pay more? The summary describes the target at 100 percent performance and defers everything else to the plan document due with the quarterly report.
Key terms in this story
Current report. The form a US-listed company files to disclose specified events between its regular reports. GCT used it twice here, once for compensation decisions and once for the annual meeting vote, each under the item number the rules assign to that event.
Broker non-vote. Shares held through a broker that are not voted on an item because the owner gave no instruction and the broker may not vote on it at its discretion. The director election in this filing drew broker non-votes; the auditor ratification, on which brokers may vote, drew none.
Target bonus. The cash award an executive receives if performance goals are met in full. In this plan the target is a quarter of base salary for the half year, and the actual award depends on a revenue target and individual goals whose values are not in the filing.
Qualified in its entirety. A standard phrase meaning the description in the filing is a summary and the full document governs. The plan document that governs here will not be public until the quarterly report is filed.
Emerging growth company. A status under US securities law that allows a newer public company reduced disclosure for a limited period. GCT ticks that box on both filings.
What to watch
October 1, 2026: Mr Cheng’s salary increase takes effect, per the filing.
The full incentive plan is to be filed as an exhibit to the quarterly report on Form 10-Q for the period ending September 30, 2026, the company said.
